Castellum höjer inte budet på Diligentia

Med anledning av de olika synpunkter på Castellums erbjudande till Diligentias aktieägare som framkommit under torsdagen har styrelsen i Castellum beslutat att göra följande uttalande.

Castellum avser inte att höja det avgivna budet. Styrelsen anser att budet, som innebär en premie om 18 %, är väl avvägt.

Som framgår av prospektet, bedömer både Castellums och Diligentias styrelser att ett samgående mellan de båda bolagen är riktigt såväl ur verksamhetsmässig synvinkel som ur ett aktieägarperspektiv.

Castellum does not raise the offer for Diligentia

Not for distribution in, or into, the United States of America, Australia, Japan or Canada. This offer is not being made to persons whose participation would require an additional prospectus, registration or measures other than those required under Swedish law.

Considering the various opinions, which have been advanced regarding Castellum´s offer to the shareholders of Diligentia during the day, the Board of Castellum has resolved to make the following statement.

Castellum does not intend to raise the offer made. The Board considers the offer, which implies a premium of 18 %, to be well balanced.

As results from the offer document, the Boards of both Castellum and Diligentia judge the combination of the two companies to be right, operationally as well as from a shareholders point of view.
